British Smaller Companies VCT plc and British Smaller Companies VCT2 plc (together the “Companies”) – Offers now closed to new applications

The Companies launched offers for subscription on 17 October 2024 seeking to raise £75 million in aggregate for the 2024/25 tax year (the “Offers”).

As a result of a strong level of demand, the Companies have now received applications to the maximum level permitted and, as a consequence, the Offers are now closed to new applications.

The allotment of the first £25 million of gross proceeds will take place between 28 and 31 January 2025. The second and final allotment of £50 million of gross proceeds will take place between 1 and 4 April 2025. Funds awaiting allotment will receive additional shares equivalent to a 3.35 per cent per annum return (rate subject to change by the receiving agent’s banking provider).

Income Tax Relief Certificates

Income tax relief certificates will be issued by email to each Shareholder by the Receiving Agent, The City Partnership, within two business days of the allotment (or a hard copy certificate will be posted within ten Business Days if an Applicant has not provided an email address).

Share Certificates

Share certificates will be issued by post by the Registrar within ten Business Days of the allotment (or CREST accounts credited within ten Business Days for a Shareholder who has their New Shares credited to CREST). Therefore, Shareholders should expect to receive share certificates for their New Shares within 14 Business Days following the allotment.

Venture Capital Trusts
Investors must retain their VCT shares for five years to retain the up-front income tax relief. Please remember that the tax rules and regulations governing VCTs are subject to change. The tax reliefs available to certain investors in VCTs are dependent on individual circumstances as well as the VCT maintaining HM Revenue & Customs approval. If this approval is withdrawn, a VCT will lose its status and all tax reliefs are likely to be cancelled.

The share price of a VCT may not reflect its net asset value. There is only a limited secondary market for shares in VCTs which may render such shares difficult to sell as they may not be readily marketable. VCTs invest in unquoted and AIM-quoted companies which are therefore smaller and carry a higher level of risk than shares which are listed on the main market of the London Stock Exchange.
